Terms of Service

1. Service

ModelAPI（aimodelapi.ai）提供 Agent 编排与多模型智能调度云服务。我们通过原厂授权的企业 API 通道完成模型调用，并按公开通道价格计费。

ModelAPI provides AI model API aggregation and routing via official enterprise channels. We are not a model trainer; we do not guarantee model output accuracy or fitness for a particular purpose.

2. Eligibility

• You must be at least 18 years old (or age of majority in your jurisdiction).
• You must meet the geographic and entity restrictions in our Compliance Policy.
• You represent that all registration information is accurate.

3. Your Responsibilities

• Comply with all applicable laws and upstream provider Terms.
• You are solely responsible for prompts, uploads, outputs, and how you use them.
• Secure your API keys; you are liable for usage under your keys.
• Do not use the service for prohibited content or activities (see Compliance Policy).

4. Billing & Credits

• Prepaid credits are non-refundable except where required by law or explicitly stated.
• Model pricing follows provider catalog; we charge a separate infrastructure fee on top-up as disclosed on /pricing.
• Unused credits do not expire unless your account is terminated for cause.

5. Suspension & Termination

我们可在用户违反条款、合规政策、上游厂商要求或存在安全/滥用风险时，暂停或终止服务，无需事先通知。您可随时停止使用并申请关闭账户（未使用额度处理按当时政策执行）。

6. Disclaimer & Limitation of Liability

• Service provided "AS IS" and "AS AVAILABLE" without warranties of uptime, accuracy, or non-infringement.
• We are not liable for indirect, incidental, or consequential damages.
• Our total liability is limited to fees paid by you in the 12 months before the claim.
• We are not responsible for upstream provider outages, policy changes, or model discontinuation.

7. Indemnification

因您违反本条款、上传违法或侵权内容、违反数据保护法律或上游条款而导致 ModelAPI 遭受索赔、罚款或损失的，您应予以赔偿并使 ModelAPI 免受损害。

8. Governing Law

本条款受 ModelAPI 运营实体注册地法律管辖（具体实体信息以发票及企业登记为准）。争议应首先通过 support@aimodelapi.ai 协商解决。

9. Changes

我们可能更新本条款并在网站公布。重大变更将通过邮件或控制台通知。继续使用即视为接受更新后的条款。
